Resolution #15-10: Appointment for Professional Service—Auditor 2015 VTMUA Auditor Contract

THIS AGREEMENT made this 26th day of February, 2015 by and between the Vernon Township Municipal Utilities Authority and Charles Ferraioli, Jr. CPA, registered municipal accountant of the firm of Ferraioli, Wielkotz, Cerullo & Cuva, P.A.

WHEREAS, the VTMUA has appointed Charles Ferraioli, Jr., as MUA auditor for a period of one year through February 26th, 2016; and

WHEREAS, Charles Ferraioli, Jr., has accepted the appointment as VTMUA auditor; and

WHEREAS, the VTMUA wishes to retain the services of his firm, Ferraioli, Wielkotz, Cerullo & Cuva, P.A., as defined in the engagement letter of February 14, 2014 attached for auditing work to be performed; and

WHEREAS, the parties hereto wish to incorporate their agreement in writing;

NOW, THEREFORE, the parties hereto agree as follows:

  1. The Vernon Township Municipal Utilities Authority retains the services of Charles Ferraioli, Jr., of the firm Ferraioli, Wielkotz, Cerullo & Cuva, P.A., as MUA auditor for the year 2015-2016. Their work shall consist of:
    • Annual audit of the authority be at a cost of $16,000.00 performed according to the engagement letter of February 14, 2015.
    • Introduction and public hearing on the budget which will be at a cost of $3,500.
    • Any additional services will be at the following hourly rates:
      Partner $140.00
      Manager $110.00
      Senior $100.00
      Staff $80.00
      Administrative $60.00
  2. The parties to this contract agree to incorporate into this contract the mandatory language of subsection 3.4 of the regulations promulgated by the treasurer pursuant to P.L. 1975, c.127, as amended and supplemented from time to time and the contractor or subcontractor agrees to comply fully with the terms, provisions, and obligations of said subsection3.4 (d) of said regulations.
  3. Furthermore, the parties to this contract agree to incorporate into this contract the mandatory language of section 5.3 of the regulations promulgated by the treasurer pursuant to P.L. 1975, c.127, as amended and supplemented from time to time and the contractor or subcontractor agrees to comply fully with the terms, provisions, and obligations of said Section 5.3.
  4. Political Contribution Disclosure. This contract has been awarded to Ferraioli, Wielkotz, Cerullo & Cuva, P.A. based on the merits and abilities of Ferraioli, Wielkotz, Cerullo & Cuva, P.A. to provide the goods or services as described herein. This contract was not awarded through a “fair and open process” pursuant to N.J.S.A. 19:44A-20.4 et seq. As such, the undersigned does hereby attest that Ferraioli, Wielkotz, Cerullo & Cuva, P.A., its subsidiaries, assigns or principals controlling in excess of 10% of the company has neither made a contribution, that is reportable pursuant to the Election Law Enforcement Commission pursuant of N.J.S.A. 19:44A-8 or 19:44A-16, in the one (1) year period preceding the award of the contract that would, pursuant to P.L.2004, c.19, affect its eligibility to perform this contract, nor will it make a reportable contribution during the term of the contract to any political party committee in the township of if a member of that political party is serving in an elective public office of that township when the contract is awarded, or to any candidate committee of any person serving in an elective public office of that township when the contract is awarded.
