Resolution #15-24: Resolution of the Vernon Township Municipal Utilities Authority Creating the Position of Executive Director and Establishing the Salary Therefor

WHEREAS, the Vernon Township Municipal Utilities Authority (“VTMUA”) is a public body politic and corporate constituting a political subdivision of the State established as an instrumentality exercising public and essential governmental functions to provide for the public health and welfare, established pursuant to N.J.S.A. 40:14B-1, et seq.,; and

WHEREAS, pursuant to N.J.S.A. 40:14B-18, the VTMUA has the power to, inter alia, appoint and employ, full- or part-time, a secretary, an executive director, managerial personnel, technical advisors and experts, professional employees, and persons who shall render professional services as set forth in N.J.S.A. 40A:11-5, as the authority may determine necessary for its efficient operations, and to determine their qualifications, terms of office, for periods not to exceed five years, duties and compensation and enter into contracts therefor, for periods not to exceed five years, as it deems necessary; and

WHEREAS, the VTMUA desires to appoint and employ John Scerbo to the position of Executive Directive of the VTMUA, subject to the approval of same by the New Jersey Division of Pensions and Benefits, and has negotiated a contract with John Scerbo setting forth the rights and obligations of the VTMUA and John Scerbo, a copy of which is attached hereto; and

WHEREAS, John Scerbo will be compensated at the rate of $40.00/hour ($72,800.00 annually) for a term of 1 year 2015-2016; and

WHEREAS, sufficient funding is available.

NOW THEREFORE IT BE RESOLVED by the Commissioners of the Vernon Township Municipal Utilities Authority that John Scerbo is hereby appointed and employed as the Executive Director of the VTMUA pending approval of said appointment by the New Jersey Division of Pensions and Benefits; and

BE IT FURTHER RESOLVED that the VTMUA Chairman is hereby authorized to enter into a contract with John Scerbo for the purposes set forth herein above, once approval has been obtained from the New Jersey Division of Pensions and Benefits.

BE IT FURTHER RESOLVED that John Scerbo shall continue to act in his capacity as an independent contractor until such time that approval is obtained from the New Jersey Division of Pensions and Benefits.
