Resolution #16-22: 2016 Contract Hiring a Recording Secretary for the VTMUA

This Contractor Agreement (Agreement) is entered into between the Vernon Township Municipal Utility of Vernon, New Jersey (the “Authority” and Jessi Paladini (“Contractor”).


Contractor agrees to perform the following services:

Set up the recording system on the meeting room computer.
Attend all Vernon Township Municipal Utilities Authority meetings.
Prepare and distribute the minutes of each authority meeting.


The VTMUA agrees to pay the Contractor a sum of $15.00 an hour with a not to exceed $1,000.00 for services described above and rendered during the term of this agreement. Payments shall be made in bi-weekly installments per submitted and approved invoices.


This Agreement will be effective as of February 18, 2016. This Agreement will terminate on February 16, 2017 unless terminated early by the Vernon Township Municipal Utilities Authority. The contractor acknowledges and agrees that the authority may terminate this agreement at any time for any or no cause, that the authority is not required to give a reason for termination, and that the Contractor has no property rights in the continuation of this Agreement.


This Agreement shall be governed and construed pursuant to the laws of the State of New Jersey. Any legal proceeding regarding this Agreement shall be filed in the Superior Court of New Jersey, Sussex County, New Jersey.


This Agreement shall constitute the entire agreement between the parties. All prior agreements written or oral, are hereby superseded by this Agreement.


This Agreement can be only be amended by a writing that is signed and dated by both parties.
