Resolution #18-24: Resolution Authorizing the Vernon Township Municipal Utilities Authority to Execute a Second Addendum to the Employment Contract of Executive Director John Scerbo

WHEREAS, the Vernon Township Municipal Utilities Authority (“VTMUA”) is a public body politic and corporate constituting a political subdivision of the state established as an instrumentality exercising public and essential governmental functions to provide for the public health and welfare, established pursuant to N.J.S.A. 40:14B-1, et seq.; and
WHEREAS, John Scerbo (“Scerbo”) is the executive director of the VTMUA whose terms and conditions of employment are set forth in that certain executive director employment agreement (“Agreement”); and
WHEREAS, the Agreement is to be amended to change Scerbo’s employee status from an hourly employee to a salaried employee, the salary for his position will start at $76,716.00 the amount shown on his 2017 W-2 form, and
WHEREAS the agreement is to be amended to provide for vacation leave for Scerbo in the amount of fifteen (15) days per annum, and to provide for mileage reimbursement in accordance with IRS guidelines, and
WHEREAS, as an hourly employee Scerbo was paid to attend regular monthly meetings of the VTMUA as a salaried employee he will no longer be paid to attend regular monthly meetings, and
WHEREAS, the VTMUA and Scerbo desire to further amend the Agreement in order to provide Scerbo an annual stipend of $1,395.00 in order to provide for the procurement of dental and vision.
NOW THEREFORE IT BE RESOLVED by the commissioners of the Vernon Township Municipal Utilities Authority, that the Agreement by and between Scerbo and the VTMUA shall and hereby is amended as set forth above with all other terms and conditions of the Agreement remaining the same.
BE IT FURTHER RESOLVED that the commissioners of the Vernon Township Municipal Utilities Authority hereby authorize and direct the chairman to execute the second addendum to the Agreement in accordance with the terms hereinabove stated.
