Resolution #19-04: Resolution Authorizing Award of a Contract for Professional Services with Thomas F. Carroll for Qualified Purchasing Agent Services

WHEREAS, the Vernon Township Municipal Utilities Authority has a need to obtain financial advisory services, specifically the use of a qualified purchasing agent, in connection with the procurement of goods and services; and

WHEREAS, pursuant to N.J.S.A. 40A:11-5(1)(a)(i), a contract for such services may be awarded without competitive bidding by reason that such services constitute “professional services” which are services rendered or performed by a person authorized by law to practice a recognized profession, whose practice is regulated by law and the performance of which services requires knowledge of an advanced type in a field of learning acquired by a prolonged formal course of specialized instruction and study as distinguished from general academic instruction or apprenticeship; and

WHEREAS, Thomas F. Carroll submitted a proposal dated January 10, 2019, to provide the aforementioned services; and

WHEREAS, the value of these services will be at a yearly rate of $1,500.00, payable quarterly as follows:

  1. Review of encumbrances and bill payments on a monthly basis, or more frequently if needed
  2. Assist in preparation of bids for regular procurement; up to 2 per year
  3. Receive bids and make recommendation for award
  4. Review all state contract purchases
  5. Review purchases for compliance with “Pay to Play” regulations

WHEREAS, the value of any additional services where VTMUA bids for a major construction project will be at an hourly rate of $125.00, payable in the regular payment cycle as follows:

  1. Assistance with preparation of the bid
  2. Advertisement
  3. Receipt
  4. Analysis

WHEREAS, the commissioners find it to be in the best interest of the VTMUA to authorize said work, which is not subject to public bidding.

NOW, THEREFORE, BE IT RESOLVED by the VTMUA commissioners that the chairman is authorized to enter into a contract with Thomas F. Carroll as described therein, subject to the certification of funds.

BE IT FURTHER RESOLVED that the secretary is hereby authorized and directed to cause a notice to be published in the manner provided by law setting forth the nature, duration, service and amount of the contract and that the resolution and contract are on file in the office of the executive director and are available for public inspection.

BE IT FURTHER RESOLVED that upon the hire of Thomas F. Carroll the VTMUA’s bid threshold shall increase to $40,000.00 and the quote threshold will be $6,000.00.
